Unfair
terms in digital product agreements may negatively
impact all businesses. Large organizations
can suffer costs in the billions each year because of
terms that increase their liabilities, threaten relationships
with their customers while jeopardizing the security
and privacy of their systems. The 12 Principles offer
business and institutional purchasers guidelines for
incorporating balanced terms into their buying practices.

• Endorse
the Principles
• Help
spread the word: If you can help spread the word about
unfair digital product terms through your
existing communications channels (newsletters, advertising,
email lists, please write to baish@law.georgetown.edu
• Write
the 12 Principles into Your RFP: When asked for preference
for terms, use the 12 Principles
in your RFPs and RFQs.
• Make the 12 Principles part of your
evaluation criteria for software and other digital product purchases.
• Use
the 12 Principles as a tool to evaluate shrink-wrap
and click-wrap agreements
• Review
the model Fair End User Licensing Agreement (FEULA)
• Respond to AFFECT’s

your state that will
